End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you (the "User") and BetterFinanceView ("Company") for the use of the BetterFinanceView software-as-a-service application ("Software").

1. Grant of License

Subject to the terms of this EULA and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your firm's internal bookkeeping review purposes.

2. Restrictions

You may not:

  • Sublicense, sell, resell, or transfer the Software to any third party
  • Copy, modify, adapt, translate, or create derivative works based on the Software
  • Reverse-engineer, decompile, or disassemble the Software
  • Use the Software to build a competing product or service
  • Remove or obscure any proprietary notices or labels in the Software
  • Use the Software in any way that violates applicable law or the rights of third parties

3. Ownership

The Software and all intellectual property rights therein are and shall remain the exclusive property of BetterFinanceView. This EULA grants you no ownership interest in the Software. Your financial data remains your property at all times.

4. QuickBooks Integration Compliance

Your use of the QuickBooks Online integration through BetterFinanceView is also subject to Intuit's Developer Terms of Service. The integration is read-only; BetterFinanceView does not write to or modify your QuickBooks data. You are responsible for maintaining valid authorization for this integration.

5. Updates and Modifications

The Company may release updates, patches, or new versions of the Software. These updates may be applied automatically and are subject to this EULA unless a separate agreement accompanies them.

6. Termination

This license is effective until terminated. It terminates automatically if you violate any term of this EULA. Upon termination, you must cease use of the Software. Sections 3, 7, and 8 survive termination.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE COMPANY'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS EULA SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Governing Law

This EULA is governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware.

10. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and BetterFinanceView regarding the Software and supersedes all prior agreements.
